Terms of Use
These terms cover your use of this website. Work we do for clients is covered by a separate signed agreement.
1. Who we are
This website, andstudio.nyc (the “site”), is run by IMA Studio, LLC, a Delaware limited liability company doing business as AND Studio and based in New York, New York. “AND Studio”, “we” and “us” mean IMA Studio, LLC.
By using the site you agree to these terms. If you don’t agree, please don’t use it.
2. Using the site
The site describes what we do and gives you a way to reach us. You’re welcome to read it and share links to it.
You agree not to use it to break the law, interfere with how it works, try to reach parts of it or its systems that aren’t public, send spam or false information through the contact form, or copy it in bulk with automated tools. Ordinary search engine indexing is fine.
The site is meant for people acting for a business. You need to be at least 18 to use the contact form.
3. Contacting us doesn’t make you a client
Sending us a message or filling in the contact form doesn’t create a client relationship and doesn’t commit you or us to anything. Any work we do for a brand is covered by a separate written agreement signed by both sides. Where that agreement and these terms differ, the agreement controls.
What you send through the form is handled as described in our Privacy Policy. No confidentiality agreement covers it unless you and we have both signed that agreement. If you need an NDA in place before sharing details, tell us first.
4. Our content and marks
The text, design, graphics, code and other material on the site belong to IMA Studio, LLC or to the people who licensed them to us, and are protected by copyright and other laws. AND Studio and the AND logo are the name and mark we use for our business. You may view the site and share links to it. Any other use of our content, name or logo needs our written permission.
Other names and marks on the site, including brands we mention and sources we cite, belong to their owners. Mentioning them doesn’t mean they sponsor or endorse us.
5. No professional advice and no guarantee of results
The site is general information about how we work. Don’t rely on it as marketing, financial, legal or other professional advice for your business.
Where the site cites research from others, we name the source. We haven’t verified that research ourselves. Where the site describes our own work or past results, those depend on the brand, the product, the budget and the market. They don’t predict yours.
Nothing on the site is a promise or guarantee of any outcome, including reach, customers, sales or return on ad spend.
6. Links to other sites
The site may link to websites we don’t run. We’re not responsible for what’s on them, whether they’re available or how they handle your information. Their own terms and privacy policies apply.
7. Disclaimer of warranties
The site and everything on it are provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don’t warrant that the site will be accurate, complete, current, uninterrupted, secure, or free of errors or harmful code.
8. Limit of liability
To the fullest extent the law allows, IMA Studio, LLC and its members, managers, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any lost profits, revenue, data or goodwill, arising out of or related to the site or these terms. That applies whether the claim is based on contract, tort or any other theory, and even if we’ve been told the damages are possible. Our total liability for all claims arising out of or related to the site or these terms will not exceed US $100.
Some places don’t allow certain warranty disclaimers or liability limits. Where that’s the case, sections 7 and 8 apply to the fullest extent the law allows. These limits are about the website. Liability under a signed services agreement with us is governed by that agreement.
9. Changes
We may change the site or these terms at any time. When the terms change we’ll post the new version here with a new date at the top. The version posted on the day you use the site applies.
10. Governing law
These terms, and any dispute arising out of or related to them or the site, are governed by the laws of the State of New York, without regard to its conflict of laws rules. Any such dispute will be brought only in the state or federal courts located in New York County, New York, and you and we consent to the jurisdiction of those courts.
If a court finds part of these terms unenforceable, the rest stays in effect. These terms are the whole agreement between you and us about your use of the site.
